Acceptance: With the issue of every unique username and password, CCC grants user a non-exclusive, non-transferable, limited license to access and use CCC’s Online Portal posted and periodically updated at
https://reporting.chicagoclearing.com/login under the terms set forth herein. By accessing and using CCC’s Online Portal, the authorized user (“user”) agrees to be legally bound by this Agreement. In addition, the user, and its clients, if applicable, also acknowledge that they will be bound by the releases included in any settlement for which CCC obtains settlement proceeds on their behalf. CCC may discontinue or change CCC’s Online Portal and its availability to users at any time.
Disclaimer: CCC’s Online Portal provides information for users from sources reasonably believed to be reliable. However, CCC accepts no responsibility or liability of any kind for the accuracy, reliability, or completeness of the information, or for any action taken, or results obtained, from the use of the information.
Representations and Warranties: CCC posts new information or updates to the Online Portal on an "as is, where is" basis and does not make any express or implied warranties, representations, endorsements, or conditions with respect to any information therein, including without limitation, warranties as to merchantability, operation, non-infringement, usefulness, completeness, accuracy, currentness, reliability and fitness for a particular purpose. User recognizes that the accuracy of any such information should be checked before it is relied upon. Further, CCC does not represent or warrant that CCC’s Online Portal will be available and meet user requirements, that access will be uninterrupted, that there will be no delays, difficulties in use, defects, incompatibility, failures, errors, omissions, or loss of transmitted information, that no viruses or other contaminating or destructive properties will be transmitted or that no damage will occur to user’s computer system. The user accepts sole responsibility for adequate protection and backup of data and/or equipment and to take reasonable and appropriate precautions to scan for computer viruses or other destructive properties. These representations and warranties shall survive indefinitely.
Release: User agrees to release CCC (and all its officers, directors, agents, affiliates, owners, and employees) from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected, and unsuspected, disclosed and undisclosed, arising out of or in any way connected with CCC’s Online Portal.
Indemnity: User agrees to indemnify and hold CCC and its subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of the user’s breach of this contract or the documents it incorporates by reference, or the user’s violation of any law or the rights of a third party.
Confidentiality: Access to CCC’s Online Portal is intended for users only. This Portal also contains privileged and Confidential Information. Confidential Information shall mean any information, data or material deemed proprietary by CCC and which may be marked, or, if orally transmitted, designated as "Confidential" by CCC and not generally known by the public or by parties which are competitive with or otherwise in an industry, trade, or business like CCC. Confidential Information also includes any information described above which CCC obtains from another party and which CCC treats as proprietary or designates in writing as Confidential Information, whether owned or developed by CCC. Confidential Information includes, but is not limited to, the following types of information and other information of a similar nature (whether or not reduced to writing): discoveries, ideas, concepts, software in various stages of development, designs, drawings, specifications, techniques, models, data, source code, object code, algorithms, documentation, user manuals, data templates, data guidelines, diagrams, flow charts, consulting methods and techniques, research, development, processes, procedures, "know-how", trade secrets, marketing techniques and materials, marketing and development plans, market analysis, customer names and other information related to customers, price lists, pricing policies and financial information, methods of production, use, operation and application, invented, owned or developed by CCC as it applies to and is incorporated in CCC’s proprietary software, and any patents, copyrights, trademarks, trade names, service marks existing now, for which applications may be pending or hereafter made, acquired and granted for any of CCC’s software and any improvements, enhancements or modifications thereto. Confidential Information shall further include data regarding business practices, pricing, product philosophy, position relative to competitors, and review of actual deliverables of projects. Any unauthorized use, dissemination or copying of any Confidential Information contained herein is prohibited. Because of the unique nature of the Confidential Information, users understand and agree that CCC may suffer irreparable harm if the authorized user fails to comply with any of its obligations hereunder and that monetary damages may be inadequate to compensate CCC for such breach. Accordingly, the authorized user agrees that CCC, in addition to any other remedies available to it at law or in equity for actual damages, shall be entitled to seek injunctive relief to enforce the terms of this Agreement.
Modifications, Waiver, Termination: CCC may modify, waive, or terminate this agreement at any time. CCC’s termination policy and procedures are available upon request.
Entire Agreement: This Agreement constitutes the entire agreement between the parties relating to CCC’s Online Portal and supersedes all other agreements, oral or in writing, with respect thereto. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.
Governing Law: This contract shall be governed by and construed in accordance with the laws of the State of Illinois and the venue shall be in Chicago, IL.
